1 Use<\/h4>

1.1 Hire the law firm Avans<\/h5>

By engaging Law firm Avans to provide a service, the client accepts these general terms and conditions.<\/p>

1.2 Terms of engagement<\/h5>

These general terms and conditions apply to all services that Law firm
Avans provides to its clients.<\/p>

1.3 Mission confirmation\u00a0<\/h5>

If a written assignment confirmation has been sent to the client in connection with a specific assignment, the terms and conditions in the confirmation take precedence over these general terms and conditions in those parts where the terms and conditions are incompatible with each other.<\/p>

2. Our services<\/h4>

2.1 The Swedish Bar Association\u00a0<\/h5>

The law firm Avans follows the Swedish Bar Association's guiding rules on good legal practice.<\/p>

2.2 Responsible lawyer<\/h5>

At the beginning of the assignment, a responsible lawyer is appointed for the case.
Our lawyers may also be involved in order to carry out the assignment in an appropriate manner. The number of people working on a case may change over time. If you have any questions, the client can always contact the responsible lawyer.<\/p>

2.3 Correct information<\/h5>

The client must ensure that, without delay, they provide complete and accurate information that is needed to carry out the assignment and that Advokatfirman Avans is continuously informed of any changes to the assignment. If the client or a third party referred to by the client delays in providing material or information or taking measures that are required for Advokatfirman Avans to be able to carry out the assignment, this may cause delays and additional costs for which the client is responsible.<\/p>

2.4 Background and materials<\/h5>

Assignments are based on the information and material provided by the client, unless otherwise specifically agreed. Advokatfirman Avans assumes that the information and material provided by the client is correct and complete, which means that Advokatfirman Avans does not verify the information or material provided by the client. If the client or a third party referred to by the client has provided incorrect or incomplete information, Advokatfirman Avans does not take responsibility for the conclusions or recommendations provided in light of the information or material.<\/p>

2.5 Prerequisites<\/h5>

The assignment is adapted to the circumstances of each individual case, based on the information provided by the client and the instructions given by the client. In light of this, the client may not use the advice or documents provided by Advokatfirman Avans for any purpose other than that intended. Draft documents provided by Advokatfirman Avans to the client during the course of the assignment do not constitute final decisions. This means that the client may not rely on, act or refrain from acting on the basis of such drafts.<\/p>

2.6 Jurisdictions<\/h5>

Advokatfirman Avan's advice does not cover possible tax consequences
of the specific assignment nor the legal situation in jurisdictions other than
Sweden, unless otherwise specifically agreed.<\/p>

2.7 Mission statement\u00a0<\/h5>

The assignment agreement is an agreement between the client and Advokatfirman
Avans. An assignment is thus accepted for the law firm and not for an individual lawyer. This applies even if it is the client's express or implied intention that the work be carried out by one or more specific persons.<\/p>

The result<\/h5>

The client has the right to use the results of Advokatfirman Avans' work for the purposes for which they have been provided. Copyright and other intellectual property rights to the work results created by Advokatfirman Avans belong to the law firm. Documents or other work results produced by Advokatfirman Avans may not be distributed to the general public or used for marketing purposes, unless otherwise agreed in writing.<\/p>

2.9 Network<\/h5>

Law firm Avans has a network of professional advisors and professionals in Sweden and abroad and is happy to assist in finding and instructing other professional advisors and professionals in specific matters. If Law firm Avans instructs, engages and\/or works together with other professional advisors or professionals, these advisors or professionals shall be considered to be independent of us, which means that Advokatfirman Avans does not take any responsibility for having recommended them to the client or for advice or other services that they provide to the client. Advokatfirman Avans is not responsible for the fees or costs that such advisors or professionals invoice the client.<\/p>

3. Personal data processing<\/h4>

3.1 Personal data<\/h5>

When the client engages Advokatfirman Avans, the client consents to Advokatfirman Avans processing the client's personal data for the purposes stated in section 3.2 and in section 4.8.<\/p>

3.2 Our obligations<\/h5>

Law firm Avans has a legal obligation to check the identity and ownership of clients and to inform itself about the case and in some cases about the origin of funds and other assets. Advokatfirman Avans may therefore obtain identity documents and documentation indicating the origin of funds and other assets and verify the information provided by the client. For this purpose, Advokatfirman Avans may obtain information from external sources. All information and documentation that Advokatfirman Avans obtains in connection with these checks is retained.<\/p>

3.3 Data Protection Regulation<\/h5>

(General Data Protection Regulation, GDPR) has been in effect within the EU since May 25, 2018. For more information about how Advokatfirman
Avans processes personal data in accordance with the GDPR, contact Advokatfirman
Avans at info@advokatavans.se.<\/a><\/strong><\/p>

4. Archiving and confidentiality, etc.<\/h4>
4.1 How is your data protected?<\/h5>

The information that the client provides to Advokatfirman Avans is protected in a manner appropriate to each case and in accordance with the Swedish Bar Association's rules of good legal practice.<\/p>

4.2 Communication<\/h5>

Law firm Avans communicates with the client and others involved in an assignment in several ways, including via email. Although email is an effective way to communicate, it involves risks from a security and confidentiality perspective. Advokatfirman Avans assumes no responsibility for these risks. If the client would prefer that we not communicate via, for example, email, the client should notify the lawyer responsible for the case.<\/p>

4.3 Spam protection<\/h5>

The law firm Avans has so-called spam and virus filters as well as security features that can filter out certain e-mail messages. The client should therefore ensure that sent e-mail messages have been received.<\/p>

4.4 Archiving<\/h5>

Upon completion of an assignment, Law firmAvans is required to archive essentially all documents and work results that were received and produced in the assignment, in paper or electronic form. The documents are archived for as long as Advokatfirman Avans deems necessary in light of the nature and scope of the assignment, however, never for a shorter period than stated in law or the Swedish Bar Association's rules on good legal practice.<\/p>

4.5 Restoring or destroying actions<\/h5>

If the client requests that Advokatfirman Avans restore or destroy a document or work result, the request cannot be granted until the archiving period has expired. Advokatfirman Avans will grant the client's request to the extent that it is consistent with the law and the Swedish Bar Association's rules on good legal practice. If the material is extensive or the work is otherwise time-consuming, this will be done for a fee.<\/p>

4.6 Delivery of materials<\/h5>

In the event that Law firm Avans engages or collaborates with experts or other professional advisors or professionals in the assignment, Advokatfirman Avans has the right to disclose such material and other information that Advokatfirman Avans believes may be relevant for the advisor or professional to be able to provide advice or perform the service in question.<\/p>

4.7 Obligation to the tax authority<\/h5>

Law firm Avans is required by law to provide information to the tax authorities upon request regarding the client's VAT number and the value of the services provided, if VAT is not payable on the services. When a client engages Advokatfirman Avans, the client consents to Advokatfirman Avans providing information to the tax authorities.<\/p>

4.8 Financial Police<\/h5>

The law firm Avans is required by law to report suspicions of money laundering or terrorist financing to the Financial Police. The law firm Avans is also prohibited by law from informing the client that suspicions exist or whether a report has been made or may be made to the Financial Police.<\/p>

5. Termination of the assignment<\/h4>

5.1 Ending the collaboration with Advokatfirman Avans<\/h5>

The client may terminate the collaboration with Advokatfirman Avans at any time by requesting in writing that Advokatfirman Avans withdraw from the assignment.<\/p>

5.2 Costs<\/h5>

The client is responsible for the costs incurred for the services provided by Advokatfirman Avans or other costs incurred by Advokatfirman Avans for the performance of the assignment up to and including the termination of the assignment.<\/p>

5.3 Resignation from the assignment<\/h5>

In cases where there are suspicions of money laundering or terrorist financing as stated in section 4.10, Advokatfirman Avans is obliged to decline or withdraw from the assignment.<\/p>

5.4 Good legal practice<\/h5>

The law firm Avans may resign from the assignment if the rules of the Swedish Bar Association require it.<\/p>

6. Costs and fees<\/h4>

6.1 Fee\u00a0<\/h5>

The law firm Avans has fees that comply with the Swedish Bar Association's rules of good legal practice.<\/p>

6.2 Scope of the assignment<\/h5>

Law firm Avans' fee is based on the scope and nature of the assignment, the skill and experience required by the assignment, the value of the assignment, the difficulty of the assignment and its significance to the client, any risks to Advokatfirman Avans, the time made available to Advokatfirman Avans to complete the assignment, the results achieved in the assignment and the time spent on the assignment. In the event that Advokatfirman Avans has announced a certain hourly fee prior to accepting the assignment, this constitutes an hourly cost standard that is the starting point for the law firm's billing. However, despite this, Advokatfirman Avans is entitled to a reasonable fee, which is why the final fee, based on the assessment criteria reported in the first sentence, may exceed the reported hourly cost standard.<\/p>

6.3 Work steps<\/h5>

Since the fee is only partly determined by the time spent, Advokatfirman Avans does not undertake to provide a detailed time report where each action or work item performed is reported with the associated time spent.<\/p>

6.4 Legal expenses insurance<\/h5>

In cases where the client has valid legal expenses insurance, there is the possibility of receiving compensation for legal costs from the insurance under certain conditions and to a certain extent. Advokatfirman Avans can help the client apply for legal protection from the insurance. The right to insurance compensation is usually limited, which means that even if the insurance is valid, it does not cover all costs. The most important terms and conditions of the insurance are often stated when the insurance company confirms the insurance case in writing. For complete information about the insurance terms and conditions, the client must read the insurance contract provisions. If the client wishes to make use of legal protection, the client must notify Advokatfirman Avans of this when the assignment is submitted.<\/p>

6.5 Legal costs<\/h5>

A losing party in a court case or arbitration may be ordered to pay the winning party's legal costs, in whole or in part. However, not all costs are always recoverable. Regardless of whether the client wins or loses in a court case or arbitration, the client is responsible for paying for the services provided by Advokatfirman Avans and for the costs incurred by Advokatfirman Avans in connection with Advokatfirman Avans' representation of the client.<\/p>

6.6 General legal aid<\/h5>

In some cases, private individuals may be entitled to general legal aid. If general legal aid is granted, special conditions apply for charging fees. General legal aid never covers liability for compensation for counterparty costs. If the client wishes to use legal aid, the client must notify Advokatfirman Avans of this when the assignment is submitted.<\/p>

6.7 Legal protection<\/h5>

In cases where legal protection or similar is applied, Advokatfirman Avans is still entitled to receive fees and other compensation for the assignment as stated above. Advokatfirman Avans is therefore not bound by the compensation standards set out in the insurance terms and conditions. The client is also responsible for payment for invoice amounts that exceed the insurance compensation. Regardless of legal protection, we are entitled to continuously invoice fees and cost compensation attributable to the assignment.<\/p>

6.8 Fixed fee<\/h5>

In cases where a fixed fee has been agreed, this only applies if this has been agreed in writing and provided that the client has provided law firm Avans with complete and correct information about the assignment in the period before the agreement on the fixed fee was reached and that the client fulfills his obligations in accordance with what is stated in paragraph 3.<\/p>

6.9 Travel expenses\u00a0<\/h5>

Travel costs and other expenses attributable to the execution of the assignment are invoiced to the client. The law firm Avans can pay limited expenses on behalf of the client and invoice the client in arrears. However, the law firm Avans may request an advance payment for expenses or may forward the current invoice to the client for payment.<\/p>

7. Invoicing<\/h4>

7.1 Ongoing invoicing<\/h5>

The starting point is that law firm Avans invoices
on an ongoing basis. The invoices can be either on account, partial invoices or final. An on account invoice does not necessarily indicate an exact estimate of the amount to be paid for the services provided by Advokatfirman Avans. In cases where Advokatfirman Avans invoices you on account, the final invoice will indicate the total fee for the assignment or part of the assignment with a deduction for the fee that was invoiced on account.<\/p>

7.2 Prepayment<\/h5>

As a starting point, Law firm Avans requests an advance payment before the start of the assignment. The advance payment will be used to settle Advokatfirman Avan's future invoices to the client. The final cost of Advokatfirman Avan's work on the assignment may be higher or lower than the advance payment amount.<\/p>

7.3 Expiration date<\/h5>

Unless otherwise stated, Law firm Avans invoices state a due date that falls 14 days from the invoice date. In the event of non-payment, default interest of twelve percent (12%) will be charged until Advokatfirman Avans has received payment of the invoice.<\/p>

7.4 Invoice recipient<\/h5>

If a client requests that an invoice be sent to someone other than the client, Law firm Avans can accept this only on the condition that it is obvious that the procedure is not contrary to law, that the identity of the invoice recipient and other circumstances specified in clause 8.3 above have been confirmed and that the client, upon request from Advokatfirman Avans, immediately pays the amounts not paid on the due date. Thus, no client relationship between Advokatfirman Avans and such other invoice recipient arises.<\/p>

8. Liability insurance and limitation of liability<\/h4>

8.1 Liability insurance<\/h5>

By maintaining separate liability insurance in addition to the Swedish Bar Association's mandatory liability insurance, Advokatfirman Avans ensures adequate insurance coverage for its operations.<\/p>

8.2 Limited amount<\/h5>

Unless otherwise specifically agreed, Law firm Avan's liability to the client is limited to the amount paid out through liability insurance.<\/p>

9. Changes<\/h4>

9.1 Change of terms and conditions<\/h5>

These general terms and conditions may be amended by Law firm Avans.
Changes to the terms and conditions only apply to assignments that have been commenced after
the amended version was published on the website.<\/p>

9.2 Delivered on request\u00a0<\/h5>

A copy of the latest version of these general terms and conditions will be provided to the client upon request.<\/p>

10. Complaints or claims<\/h4>

10.1 Complaints about services<\/h5>

If for any reason the client is not satisfied with Law firm Avan's services or has a complaint, the client must notify the lawyer responsible for the matter as soon as possible.<\/p>

10.2 Requirements\u00a0<\/h5>

A claim relating to advice provided must be made as soon as the client becomes aware of the circumstances on which the claim is based, but no later than six months from the later of (i) the date on which the last invoice was issued for the assignment to which the claim relates and (ii) the date on which the relevant circumstances were known to the client, or after reasonable consideration could have become known to the client.<\/p>

10.3 Lost your right<\/h5>

If a claim is not made within the time specified in clause 11.2, the client has forfeited his right to make the claim against Advokatfirman Avans.<\/p>

10.4 Requirements from third parties or authorities<\/h5>

If the client's claim against Law firm Avans is based on a claim from a third party or authority against the client, Advokatfirman Avans shall have the right to respond, settle and settle the claim on behalf of the client, provided that Advokatfirman Avans holds the client harmless. If the client settles, settles or otherwise takes any action regarding such a claim without consulting Advokatfirman Avans, Advokatfirman Avans shall have no liability for the claim.<\/p>

10.5 Not to be held liable<\/h5>

Law firm Avans cannot be held liable for any damage caused to the client directly or indirectly due to Law firm Avans having complied with the obligations incumbent on Advokatfirman Avans pursuant to clause 3.1 or clause 4.8.<\/p>

Advokatfirman Avans cannot be held liable for damage caused to the client directly or indirectly due to Advokatfirman Avans having complied with the obligations incumbent on Advokatfirman Avans in accordance with clause 3.1 or clause 4.8.\n\n10.6 For the examination of disputes between consumers and lawyers or law firms regarding services that the lawyer or law firm has provided to the consumer, there is a consumer dispute committee established by the Swedish Bar Association. 11. Applicable law and dispute resolution<\/h4>

11.1 General terms and conditions<\/h5>

These general terms and conditions as well as any confirmation of assignment and all issues relating to them, Advokatfirman Avan's assignments and services shall be governed by and interpreted in accordance with Swedish law.<\/p>

11.2 Disputes regarding general terms and conditions<\/h5>

In addition to the review specified in 11.6, disputes arising from these general terms and conditions, the confirmation of the assignment (if any), Advokatfirman Avan's assignment or services shall be finally settled by arbitration in accordance with the Rules for Simplified Arbitration of the Stockholm Chamber of Commerce's Arbitration Institute. The seat of the arbitration shall be Stockholm and the language to be used shall be Swedish.<\/p>

11.3 Arbitration<\/h5>

Arbitration proceedings initiated pursuant to clause 12.2 and information arising during the proceedings as well as decisions or awards made in connection with the proceedings are subject to confidentiality and may not be disclosed to third parties without the written consent of the other party. However, a party shall not be prevented from disclosing such information in order to preserve its rights in relation to the other party or to an insurer or if such an obligation exists under mandatory law or regulations for issuers or the like.<\/p>

11.4 Bringing legal action<\/h5>

Regardless of what is stated in clause 12.2, Advokatfirman Avans and the client who is a consumer have the right to bring an action in a general court regarding fee claims.<\/p><\/div><\/div><\/div><\/div>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

1 Use<\/span><\/strong><\/h3>

1.1 Genom att klienten anlitar Advokatfirman Avans f\u00f6r att
tillhandah\u00e5lla en tj\u00e4nst accepterar klienten dessa allm\u00e4nna uppdragsvillkor.<\/span><\/p>

1.2 Dessa allm\u00e4nna uppdragsvillkor g\u00e4ller f\u00f6r alla tj\u00e4nster som Advokatfirman
Avans tillhandah\u00e5ller sina klienter.<\/span><\/p>

1.3 Har en skriftlig uppdragsbekr\u00e4ftelse skickats till klienten
i samband med ett specifikt uppdrag, \u00e4ger villkoren enligt bekr\u00e4ftelsen
f\u00f6retr\u00e4de framf\u00f6r dessa allm\u00e4nna villkor i de delar som villkoren \u00e4r of\u00f6renliga
med varandra.<\/span><\/p>

2. Our services<\/span><\/strong><\/h3>

2.1 Advokatfirman Avans f\u00f6ljer Sveriges advokatsamfunds v\u00e4gledande
regler om god advokatsed.<\/span><\/p>

2.2 Vid uppdragets b\u00f6rjan utses en ansvarig advokat f\u00f6r \u00e4rendet.
V\u00e5ra jurister kan \u00e4ven vara delaktiga f\u00f6r att utf\u00f6ra uppdraget p\u00e5 ett
\u00e4ndam\u00e5lsenligt s\u00e4tt. Antalet personer som arbetar i ett \u00e4rende kan komma att
\u00e4ndras under tid. Vid eventuella fr\u00e5gor kan klienten alltid kontakta ansvarig
advokat.<\/span><\/p>

2.3 Klienten har att tillse att utan dr\u00f6jsm\u00e5l tillhandah\u00e5lla
s\u00e5dan fullst\u00e4ndig och korrekt information som beh\u00f6vs f\u00f6r att genomf\u00f6ra
uppdraget samt att Advokatfirman Avans l\u00f6pande f\u00e5r information om eventuella
f\u00f6r\u00e4ndringar f\u00f6r uppdraget. Om klienten eller tredje man som klienten h\u00e4nvisat
till dr\u00f6jer med att tillhandah\u00e5lla material eller information eller vidta
\u00e5tg\u00e4rder som kr\u00e4vs f\u00f6r att Advokatfirman Avans ska kunna genomf\u00f6ra uppdraget, kan
detta orsaka f\u00f6rseningar och merkostnader som klienten \u00e4r ansvarig f\u00f6r.<\/span><\/p>

2.4 Uppdrag baseras p\u00e5 den information och det material som
klienten tillhandah\u00e5ller, om inte annat s\u00e4rskilt har \u00f6verenskommit. Advokatfirman
Avans utg\u00e5r fr\u00e5n att den information och det material som klienten l\u00e4mnar \u00e4r
korrekt och fullst\u00e4ndig, vilket inneb\u00e4r att Advokatfirman Avans inte verifierar
den information eller material som klienten l\u00e4mnar. Har klienten eller tredje
man som klienten h\u00e4nvisat till l\u00e4mnat felaktig eller bristf\u00e4llig information
tar inte Advokatfirman Avans ansvar f\u00f6r de slutsatser eller rekommendationer
som l\u00e4mnats mot bakgrund av informationen eller materialet.<\/span><\/p>

2.5 Uppdraget anpassas efter f\u00f6ruts\u00e4ttningarna i varje enskilt
fall, baserat p\u00e5 den information som klienten l\u00e4mnar samt de instruktioner som
klienter ger. Mot bakgrund h\u00e4rav kan klienten inte anv\u00e4nda de r\u00e5d eller de
handlingar som Advokatfirman Avans l\u00e4mnar f\u00f6r annat \u00e4ndam\u00e5l \u00e4n det avsedda.
Utkast till dokument som Advokatfirman Avans tillhandah\u00e5ller klienten under
uppdragets g\u00e5ng utg\u00f6r inte slutliga st\u00e4llningstaganden. Detta medf\u00f6r att
klienten inte kan f\u00f6rlita sig p\u00e5, agera eller avst\u00e5 fr\u00e5n att agera med st\u00f6d av
s\u00e5dana utkast.<\/span><\/p>

2.6 Advokatfirman Avans r\u00e5dgivning omfattar inte m\u00f6jliga skattekonsekvenser
i det specifika uppdraget och inte heller r\u00e4ttsl\u00e4get i andra jurisdiktioner \u00e4n
Sverige, om inte annat s\u00e4rskilt \u00f6verenskommits.<\/span><\/p>

2.7 Uppdragsavtalet \u00e4r ett avtal mellan klienten och Advokatfirman
Avans. Ett uppdrag accepteras s\u00e5ledes f\u00f6r advokatbyr\u00e5n och inte f\u00f6r en enskild
jurist. Detta g\u00e4ller \u00e4ven om det \u00e4r klientens uttryckliga eller underf\u00f6rst\u00e5dda
avsikt att arbetet ska utf\u00f6ras av en\/flera specifika personer.<\/span><\/p>

2.8 Klienten har r\u00e4tt att anv\u00e4nda resultatet fr\u00e5n Advokatfirman
Avans arbete f\u00f6r de \u00e4ndam\u00e5l f\u00f6r vilka de har tillhandah\u00e5llits. Upphovsr\u00e4tt och
andra immateriella r\u00e4ttigheter till arbetsresultatet som Advokatfirman Avans
skapar tillh\u00f6r advokatbyr\u00e5n. Dokument eller annat arbetsresultat som
framst\u00e4llts av Advokatfirman Avans f\u00e5r inte ges allm\u00e4n spridning eller anv\u00e4ndas
f\u00f6r marknadsf\u00f6ring, om annat inte har avtalats skriftligt.<\/span><\/p>

2.9 Advokatfirman Avans har ett n\u00e4tverk av professionella
r\u00e5dgivare och fackm\u00e4n i Sverige och utomlands och bist\u00e5r g\u00e4rna med att finna
och instruera andra professionella r\u00e5dgivare och fackm\u00e4n i s\u00e4rskilda fr\u00e5gor. Om
Advokatfirman Avans instruerar, anlitar och\/eller arbetar tillsammans med andra
professionella r\u00e5dgivare eller fackm\u00e4n, ska dessa r\u00e5dgivare eller fackm\u00e4n anses
vara oberoende av oss, vilket inneb\u00e4r att Advokatfirman Avans inte tar n\u00e5got
ansvar f\u00f6r att ha rekommenderat dem till klienten eller f\u00f6r r\u00e5d eller andra
tj\u00e4nster som de tillhandah\u00e5ller klienten. Advokatfirman Avans ansvarar inte f\u00f6r

3. Personal data processing<\/span><\/strong><\/h3>

3.1 N\u00e4r klienten anlitar Advokatfirman Avans l\u00e4mnar klienten
samtycke till att Advokatfirman Avans behandlar klientens personuppgifter f\u00f6r
de \u00e4ndam\u00e5l som anges i punkten 3.2 samt i punkten 4.8.<\/span><\/p>

3.2 Advokatfirman Avans har en skyldighet enligt lag att
kontrollera klienters identitet och \u00e4garf\u00f6rh\u00e5llanden samt informera sig om \u00e4rendet
och i vissa fall om medel och andra tillg\u00e5ngars ursprung. Advokatfirman Avans
kan d\u00e4rf\u00f6r komma att inh\u00e4mta identitetshandlingar samt dokumentation utvisande
varifr\u00e5n medel och andra tillg\u00e5ngar kommer samt verifiera den information som
klienten l\u00e4mnar. F\u00f6r detta \u00e4ndam\u00e5l kan Advokatfirman Avans inh\u00e4mta information
fr\u00e5n externa k\u00e4llor. All information och dokumentation som Advokatfirman Avans
inh\u00e4mtar i samband med dessa kontroller bevaras.<\/span><\/p>

3.3 Dataskyddsf\u00f6rordningen (General Data Protection Regulation,
GDPR) g\u00e4ller inom EU sedan 25 maj 2018. F\u00f6r mer information om hur Advokatfirman
Avans behandlar personuppgifter i enlighet med GDPR, kontakta Advokatfirman
Avans p\u00e5 info@advokatavans.se.<\/span><\/p>

4. Archiving and confidentiality, etc.<\/span><\/strong><\/h3>

4.1 Den information som klienten l\u00e4mnar till Advokatfirman Avans
skyddas p\u00e5 ett f\u00f6r respektive \u00e4rende l\u00e4mpligt s\u00e4tt och i enlighet med Sveriges
advokatsamfunds regler om god advokatsed.<\/span><\/p>

4.2 Advokatfirman Avans kommunicerar med klienten och andra som
\u00e4r involverade i ett uppdrag p\u00e5 flera s\u00e4tt, bland annat via e-post. \u00c4ven om
e-post \u00e4r ett effektivt s\u00e4tt att kommunicera p\u00e5 inneb\u00e4r det risker ur
s\u00e4kerhets- och sekretessynpunkt. Advokatfirman Avans \u00e5tar sig inget ansvar f\u00f6r
dessa risker. Om klienten skulle f\u00f6redra att vi inte kommunicerar via exempelvis
e-post ska klienten meddela detta till den advokat som \u00e4r ansvarig f\u00f6r \u00e4rendet.<\/span><\/p>

4.3 Advokatfirman Avans har s.k. spam- och virusfilter samt
s\u00e4kerhetsfunktioner som kan filtrera bort vissa e-postmeddelanden. Klienten b\u00f6r
d\u00e4rf\u00f6r f\u00f6rvissa sig om att skickade e-postmeddelanden kommit fram.<\/span><\/p>

4.4 Vid avslutande av ett uppdrag, \u00e4r Advokatfirman Avans
skyldig att arkivera i huvudsak alla handlingar och arbetsresultat som
erh\u00e5llits och framst\u00e4llts i uppdraget, i pappers- eller elektronisk form.
Handlingarna arkiveras under s\u00e5 l\u00e5ng tid som enligt Advokatfirman Avans
bed\u00f6mning anses p\u00e5kallat mot bakgrund av uppdragets art och omfattning, dock
aldrig under kortare tid \u00e4n vad som anges i lag eller Sveriges advokatsamfunds
regler om god advokatsed.<\/span><\/p>

4.5 Om klienten beg\u00e4r att Advokatfirman Avans ska \u00e5terst\u00e4lla
eller f\u00f6rst\u00f6ra en handling eller ett arbetsresultat kan beg\u00e4ran inte
tillm\u00f6tesg\u00e5s f\u00f6rr\u00e4n arkiveringstiden har l\u00f6pt ut. Advokatfirman Avans kommer
att tillm\u00f6tesg\u00e5 klientens beg\u00e4ran i den m\u00e5n det \u00e4r f\u00f6renligt med lag och
Sveriges advokatsamfunds regler om god advokatsed. Om materialet \u00e4r omfattande
eller arbetet av annan anledning \u00e4r tidskr\u00e4vande sker det mot ers\u00e4ttning.<\/span><\/p>

4.6 I det fall Advokatfirman Avans i uppdraget anlitar eller
samarbetar med sakkunnig eller andra professionella r\u00e5dgivare eller fackm\u00e4n har
Advokatfirman Avans r\u00e4tt att l\u00e4mna ut s\u00e5dant material och annan information som
Advokatfirman Avans anser kan vara relevant f\u00f6r att r\u00e5dgivaren eller fackmannen
ska kunna l\u00e4mna r\u00e5d till eller utf\u00f6ra den aktuella tj\u00e4nsten.<\/span><\/p>

4.7 Advokatfirman Avans \u00e4r enligt lag skyldig att p\u00e5 beg\u00e4ran
l\u00e4mna information till skattemyndigheterna om klientens momsnummer och v\u00e4rdet
p\u00e5 de utf\u00f6rda tj\u00e4nsterna, om merv\u00e4rdesskatt inte utg\u00e5r p\u00e5 tj\u00e4nsterna. N\u00e4r en
klient anlitar Advokatfirman Avans l\u00e4mnar klienten samtycke till att Advokatfirman
Avans f\u00e5r l\u00e4mna information till skattemyndigheterna.<\/span><\/p>

4.8 Advokatfirman Avans \u00e4r enligt lag skyldig att anm\u00e4la
misstankar om penningtv\u00e4tt eller terrorismfinansiering till Finanspolisen. Advokatfirman
Avans \u00e4r vidare enligt lag hindrade att informera klienten om att misstankar
f\u00f6religger eller om anm\u00e4lan har gjorts eller kan komma att g\u00f6ras till
Finanspolisen.<\/span><\/p>

5. Termination of the assignment<\/span><\/strong><\/h3>

5.1 Klienten kan n\u00e4r som helst avsluta samarbetet med Advokatfirman
Avans genom att skriftligen beg\u00e4ra att Advokatfirman Avans ska fr\u00e5ntr\u00e4da
uppdraget.<\/span><\/p>

5.2 Klienten \u00e4r ansvarig f\u00f6r de kostnader som uppst\u00e5tt f\u00f6r de
tj\u00e4nster som Advokatfirman Avans utf\u00f6rt eller \u00f6vriga kostnader som Advokatfirman
Avans haft f\u00f6r utf\u00f6randet av uppdraget fram till och med det att uppdraget
upph\u00f6rde.<\/span><\/p>

5.3 I de fall misstankar om penningtv\u00e4tt eller
terrorismfinansiering f\u00f6religger enligt vad som anges i punkt 4.10 \u00e4r Advokatfirman
Avans skyldiga att avb\u00f6ja eller fr\u00e5ntr\u00e4da uppdraget.<\/span><\/p>

5.4
Advokatfirman Avans kan fr\u00e5ntr\u00e4da uppdraget om Sveriges advokatsamfunds regler
om god advokatsed s\u00e5 kr\u00e4ver.<\/span><\/p>

6. Costs and fees<\/span><\/strong><\/h3>

6.1 Advokatfirman Avans har arvoden som \u00f6verensst\u00e4mmer med
Sveriges advokatsamfunds regler om god advokatsed.<\/span><\/p>

6.2 Advokatfirman Avans arvode baserat p\u00e5 uppdragets omfattning
och art, den skicklighet och erfarenhet som uppdraget kr\u00e4vt, v\u00e4rdet som
uppdraget omfattar, uppdragets sv\u00e5righet och betydelsen f\u00f6r klienten,
eventuella risker f\u00f6r Advokatfirman Avans, den tid som st\u00e4llts till f\u00f6rfogande
f\u00f6r Advokatfirman Avans f\u00f6r fullg\u00f6rande av uppdraget, uppn\u00e5tt resultat i
uppdraget samt nedlagd tid i uppdraget. I det fall Advokatfirman Avans har
meddelat ett visst timarvode inf\u00f6r uppdragets antagande utg\u00f6r det en
timkostnadsnorm som \u00e4r utg\u00e5ngspunkten f\u00f6r advokatbyr\u00e5ns debitering. Advokatfirman
Avans \u00e4ger dock oaktat detta r\u00e4tt till ett sk\u00e4ligt arvode varf\u00f6r slutligt
arvode, utifr\u00e5n i f\u00f6rsta meningen redovisade bed\u00f6mningsgrunder, kan \u00f6verstiga
den redovisade timkostnadsnormen.<\/span><\/p>

6.3
Eftersom arvodet styrs endast delvis av nedlagd tid
\u00e5tar sig inte Advokatfirman Avans att l\u00e4mna en detaljerad tidredovisning d\u00e4r
varje utf\u00f6rd \u00e5tg\u00e4rd eller varje utf\u00f6rt arbetsmoment redovisas med d\u00e4rtill
h\u00f6rande tids\u00e5tg\u00e5ng.<\/span><\/span><\/p>

6.4 I de fall d\u00e4r klienten har g\u00e4llande r\u00e4ttsskyddsf\u00f6rs\u00e4kring
finns m\u00f6jlighet att under vissa f\u00f6ruts\u00e4ttningar och i viss omfattning f\u00e5
ers\u00e4ttning f\u00f6r r\u00e4tteg\u00e5ngskostnader ur f\u00f6rs\u00e4kringen. Advokatfirman Avans kan
hj\u00e4lpa klienten att ans\u00f6ka om r\u00e4ttsskydd fr\u00e5n f\u00f6rs\u00e4kringen. R\u00e4tten till
f\u00f6rs\u00e4kringsers\u00e4ttning \u00e4r vanligen begr\u00e4nsad vilket g\u00f6r att \u00e4ven om f\u00f6rs\u00e4kringen
g\u00e4ller s\u00e5 t\u00e4cker den inte alla kostnader. De viktigaste villkoren f\u00f6r
f\u00f6rs\u00e4kringen framg\u00e5r ofta n\u00e4r f\u00f6rs\u00e4kringsbolaget skriftligt bekr\u00e4ftar
f\u00f6rs\u00e4kringsfallet. F\u00f6r fullst\u00e4ndig information om f\u00f6rs\u00e4kringsvillkoren kr\u00e4vs
att klienten tar del av f\u00f6rs\u00e4kringsavtalsbest\u00e4mmelserna. F\u00f6r det fall klienten
\u00f6nskar utnyttja r\u00e4ttsskydd ska klienten meddela Advokatfirman Avans detta n\u00e4r
uppdraget l\u00e4mnas.<\/span><\/p>

6.5 En f\u00f6rlorande part i en domstolsprocess eller
skiljef\u00f6rfarande kan \u00e5l\u00e4ggas att betala den vinnande partens r\u00e4tteg\u00e5ngskostnader,
helt eller delvis. Det \u00e4r dock inte alltid samtliga kostnader som \u00e4r
ers\u00e4ttningsbara. Oavsett om klienten vinner eller f\u00f6rlorar i en domstolsprocess
eller ett skiljef\u00f6rfarande \u00e4r klienten ansvarig att betala f\u00f6r de tj\u00e4nster som Advokatfirman
Avans har utf\u00f6rt och f\u00f6r de kostnader som Advokatfirman Avans har haft i
samband med att Advokatfirman Avans f\u00f6retr\u00e4tt klienten.<\/span><\/p>

6.6 I vissa fall kan privatpersoner ha r\u00e4tt till allm\u00e4n
r\u00e4ttshj\u00e4lp. Om allm\u00e4n r\u00e4ttshj\u00e4lp beviljas g\u00e4ller s\u00e4rskilda villkor f\u00f6r
debitering av arvode. Allm\u00e4n r\u00e4ttshj\u00e4lp t\u00e4cker aldrig ers\u00e4ttningsskyldighet f\u00f6r
motpartskostnader. F\u00f6r det fall klienten \u00f6nskar utnyttja r\u00e4ttshj\u00e4lp ska
klienten meddela Advokatfirman Avans detta n\u00e4r uppdraget l\u00e4mnas.<\/span><\/p>

6.7 I de fall r\u00e4ttsskydd eller liknande till\u00e4mpas har Advokatfirman
Avans \u00e4nd\u00e5 r\u00e4tt att f\u00e5 arvode och annan ers\u00e4ttning f\u00f6r uppdraget enligt vad som
angivits ovan. Advokatfirman Avans \u00e4r s\u00e5ledes inte bundna av de
ers\u00e4ttningsnormer som f\u00f6rs\u00e4kringsvillkoren uppst\u00e4ller. Klienten \u00e4r
betalningsansvarig \u00e4ven f\u00f6r fakturabelopp som \u00f6verstiger
f\u00f6rs\u00e4kringsers\u00e4ttningen. Oberoende av r\u00e4ttsskydd \u00e4ger vi r\u00e4tt att l\u00f6pande
fakturera arvode och kostnadsers\u00e4ttning h\u00e4nf\u00f6rligt till uppdraget.<\/span><\/p>

6.8 I de fall ett fast arvode har \u00f6verenskommits g\u00e4ller detta
endast om detta avtalats skriftligt samt under f\u00f6ruts\u00e4ttning att klienten har
tillhandah\u00e5llit Advokatfirman Avans ett fullst\u00e4ndigt och korrekt
informationsunderlag om uppdraget i tiden innan \u00f6verenskommelse om det fasta
arvodet tr\u00e4ffades samt att klienten fullg\u00f6r sina skyldigheter i enlighet med
vad som anges i punkt 3.<\/span><\/p>

6.9 Kostnader f\u00f6r resor och andra utgifter h\u00e4nf\u00f6rliga till
genomf\u00f6randet av uppdraget faktureras klienten. Advokatfirman Avans kan betala
begr\u00e4nsade utgifter f\u00f6r klientens r\u00e4kning och fakturerar klienten i efterskott.
Advokatfirman Avans kan dock be om f\u00f6rskott f\u00f6r utgifter eller komma att
vidarebefordra den aktuella fakturan till klienten f\u00f6r betalning.<\/span><\/p>

7. Invoicing<\/span><\/strong><\/h3>

7.1 Utg\u00e5ngspunkten \u00e4r att Advokatfirman Avans fakturerar
l\u00f6pande. Fakturorna kan antingen vara a conto, delfakturor eller slutliga. En a
contofaktura anger inte n\u00f6dv\u00e4ndigtvis en exakt uppskattning av det belopp som
ska betalas f\u00f6r de tj\u00e4nster Advokatfirman Avans utf\u00f6rt. I de fall Advokatfirman
Avans fakturerar er a conto, kommer den slutliga fakturan att ange det totala
arvodet f\u00f6r uppdraget eller del av uppdraget med avdrag f\u00f6r det arvode som
fakturerats a conto.<\/span><\/p>

7.2 Som utg\u00e5ngspunkt beg\u00e4r Advokatfirman Avans f\u00f6rskott innan
p\u00e5b\u00f6rjande av uppdraget. Inbetalt f\u00f6rskott kommer att anv\u00e4ndas till att reglera
Advokatfirman Avans framtida fakturor till klienten. Den slutliga kostnaden f\u00f6r
Advokatfirman Avans arbete i uppdraget kan bli h\u00f6gre eller l\u00e4gre \u00e4n
f\u00f6rskottsbeloppet.<\/span><\/p>

7.3 Om inte annat anges anger Advokatfirman Avans fakturor ett
f\u00f6rfallodatum som infaller 14 dagar fr\u00e5n fakturadatum. Vid utebliven betalning
debiteras dr\u00f6jsm\u00e5lsr\u00e4nta med tolv procent (12%) till dess att Advokatfirman
Avans mottagit betalning av fakturan.<\/span><\/p>

7.4 Om en klient beg\u00e4r att en faktura st\u00e4lls till n\u00e5gon annan \u00e4n
klienten, kan Advokatfirman Avans acceptera detta endast under f\u00f6ruts\u00e4ttning
att det \u00e4r uppenbart att tillv\u00e4gag\u00e5ngss\u00e4ttet inte strider mot lag, att
identiteten f\u00f6r fakturamottagande och andra f\u00f6rh\u00e5llanden som anges i punkt 8.3
ovan har bekr\u00e4ftats och att klienten vid beg\u00e4ran fr\u00e5n Advokatfirman Avans
omedelbart betalar de belopp som inte betalats p\u00e5 f\u00f6rfallodagen. N\u00e5got
klientf\u00f6rh\u00e5llande mellan Advokatfirman Avans och s\u00e5dan annan fakturamottagaren
uppkommer s\u00e5ledes inte.<\/span><\/p>

8. Liability insurance and limitation of liability<\/span><\/strong><\/h3>

8.1 Genom att uppr\u00e4tth\u00e5lla en separat ansvarsf\u00f6rs\u00e4kring i
till\u00e4gg till Sveriges advokatsamfunds obligatoriska ansvarsf\u00f6rs\u00e4kring tillser Advokatfirman
Avans ett f\u00f6r den bedrivna verksamheten fullgott f\u00f6rs\u00e4kringsskydd.<\/span><\/p>

8.2 Om inte annat s\u00e4rskilt \u00f6verenskommits \u00e4r Advokatfirman Avans
ansvar gentemot klienten begr\u00e4nsat till belopp <\/span>som utbetalas genom ansvarsf\u00f6rs\u00e4kringen.<\/span><\/span><\/p>

9. Changes<\/span><\/strong><\/h3>

9.1 Dessa allm\u00e4nna villkor kan \u00e4ndras av Advokatfirman Avans.
\u00c4ndringar i villkoren g\u00e4ller endast f\u00f6r de uppdrag som har p\u00e5b\u00f6rjats efter det
att den \u00e4ndrade versionen publicerades p\u00e5 hemsidan.<\/span><\/p>

9.2 Kopia av den senaste versionen av dessa allm\u00e4nna villkor
tillst\u00e4lls klient p\u00e5 beg\u00e4ran.<\/span><\/p>

10. Complaints or claims<\/span><\/strong><\/h3>

10.1 Om klienten av n\u00e5gon anledning inte \u00e4r n\u00f6jd med Advokatfirman
Avans tj\u00e4nster eller har klagom\u00e5l ska klienten underr\u00e4tta den ansvarige
advokaten f\u00f6r \u00e4rendet s\u00e5 snart som m\u00f6jligt.<\/span><\/p>

10.2 Ett krav som har samband med r\u00e5dgivning som har l\u00e4mnats ska
framst\u00e4llas s\u00e5 snart som klienten blivit medveten om de omst\u00e4ndigheter p\u00e5
vilket kravet grundas, dock senast inom sex m\u00e5nader fr\u00e5n det senare av (i) den
dag d\u00e5 den sista fakturan utst\u00e4lldes f\u00f6r det uppdrag som kravet avser och (ii)
den dag d\u00e5 de aktuella omst\u00e4ndigheterna var k\u00e4nda f\u00f6r klienten, eller efter
rimlig genomg\u00e5ng kunde ha blivit k\u00e4nda f\u00f6r klienten.<\/span><\/p>

10.3 Om ett krav inte framst\u00e4lls inom den i punkt 11.2 angivna
tiden har klienten f\u00f6rsuttit sin r\u00e4tt framst\u00e4lla kravet mot Advokatfirman Avans.<\/span><\/p>

10.4 Om klientens krav mot Advokatfirman Avans baseras p\u00e5 krav
fr\u00e5n tredje man eller myndighet mot klienten ska Advokatfirman Avans ha r\u00e4tt
att bem\u00f6ta, reglera och f\u00f6rlika kravet f\u00f6r klientens r\u00e4kning under
f\u00f6ruts\u00e4ttning att Advokatfirman Avans h\u00e5ller klienten skadel\u00f6sa. Om klienten
reglerar, tr\u00e4ffar f\u00f6rlikning eller i \u00f6vrigt vidtar n\u00e5gon \u00e5tg\u00e4rd avseende s\u00e5dant
krav utan att samr\u00e5da med Advokatfirman Avans, har Advokatfirman Avans inte
n\u00e5got ansvar f\u00f6r kravet.<\/span><\/p>

10.5 Advokatfirman Avans kan inte h\u00e5llas ansvarigt f\u00f6r skada som
klienten f\u00f6rorsakas direkt eller indirekt med anledning av att Advokatfirman
Avans har iakttagit de skyldigheter som \u00e5ligger Advokatfirman Avans enligt
punkt 3.1 eller punkt 4.8.<\/span><\/p>

10.6 F\u00f6r pr\u00f6vning av tvist mellan konsument och advokat eller
advokatbyr\u00e5 ang\u00e5ende tj\u00e4nst som advokaten eller advokatbyr\u00e5n har
tillhandah\u00e5llit konsumenten finns en konsumenttvistn\u00e4mnd inr\u00e4ttad av Sveriges
Advokatsamfund. Information h\u00e4rom kan erh\u00e5llas p\u00e5 Advokatsamfundets hemsida. Konsumenttvistn\u00e4mnden

11. Applicable law and dispute resolution<\/span><\/strong><\/h3>

11.1 Dessa allm\u00e4nna villkor samt eventuell uppdragsbekr\u00e4ftelse
och samtliga fr\u00e5gest\u00e4llningar h\u00e4nf\u00f6rliga till dessa, Advokatfirman Avans
uppdrag och tj\u00e4nster ska regleras och tolkas i enlighet med svensk r\u00e4tt.<\/span><\/p>

11.2 Ut\u00f6ver den pr\u00f6vning som anges i 11.6 ska tvister som
uppst\u00e5r i anledning dessa allm\u00e4nna villkor, uppdragsbekr\u00e4ftelsen (om s\u00e5dan
finns), Advokatfirman Avans uppdrag eller tj\u00e4nster, ska slutligt avg\u00f6ras genom
skiljedom enligt Regler f\u00f6r F\u00f6renklat Skiljef\u00f6rfarande f\u00f6r Stockholms Handelskammares
Skiljedomsinstitut. S\u00e4tet f\u00f6r skiljef\u00f6rfarandet ska vara Stockholm och det
spr\u00e5k som ska anv\u00e4ndas \u00e4r svenska.<\/span><\/p>

11.3 Skiljef\u00f6rfarande som p\u00e5kallats med h\u00e4nvisning till punkt
12.2 samt information som framkommer under f\u00f6rfarandet liksom beslut eller
skiljedom som meddelas med anledning av f\u00f6rfarandet omfattas av sekretess och
f\u00e5r inte utan den andra partens skriftliga medgivande f\u00f6ras vidare till tredje
man. En part ska emellertid inte vara f\u00f6rhindrad att r\u00f6ja s\u00e5dan information f\u00f6r
att bevara sin r\u00e4tt i f\u00f6rh\u00e5llande till den andra parten eller till en
f\u00f6rs\u00e4kringsgivare eller om s\u00e5dan skyldighet f\u00f6religger enligt tvingande lag
eller regelverk f\u00f6r emittenter eller liknande.<\/span><\/p>

11.4 Oavsett vad som anges i punkt 12.2 har Advokatfirman Avans
och klient som \u00e4r konsument, r\u00e4tt att v\u00e4cka talan i allm\u00e4n domstol avseende
